The Merger Mystery : Why Spend Ever More on Mergers When So Many Fail?

Statistical studies over the last forty-five years show that, although there are success stories, very many mergers and acquisitions do not result in the increased operating profits that economics textbooks would lead one to expect. As consultancy McKinsey have put it, ‘Anyone who has researched merger success rates knows that roughly 70% fail'. Yet—mysteriously—M&A activity has boomed across the globe, with a forty-fold increase in deals done each year now compared with four decades ago, in spite of the adverse general evidence. How can it be that talented, energetic, highly skilled, law-abiding, income-maximising participants in the M&A market will often promote mergers that lead to no operating gains, frequently with adverse effects on the wider economy too? Drawing on findings from a wealth of statistical analyses and case evidence from many businesses, the book presents answers to this merger mystery. In a synthesis of ideas from several disciplines, solutions are detected in misaligned incentives, distorted financial engineering and information asymmetry. By revealing how weaknesses at multiple points can interact and cumulate to produce inefficient outcomes, the discussion serves as a corrective to the overwhelmingly positive tone of most commentary on M&A, whilst also advocating changes in participants'contracts, in taxation, and in regulation which could significantly reduce the number of mergers that fail. Designed to be accessible to a wide readership, the book will be of interest to investors, to M&A practitioners and commentators, to researchers and students of economics, political economy, finance, management and accounting, and—importantly—to policy makers working in these areas.

The Antonine Wall, the Roman frontier in Scotland, was the most northerly frontier of the Roman Empire for a generation from AD 142. It is a World Heritage Site and Scotland's largest ancient monument. Today, it cuts across the densely populated central belt between Forth and Clyde. In this volume, nearly 40 archaeologists, historians and heritage managers present their researches on the Antonine Wall in recognition of the work of Lawrence Keppie, formerly Professor of Roman History and Archaeology at the Hunterian Museum, Glasgow University, who spent much of his academic career recording and studying the Wall. The 32 papers cover a wide variety of aspects, embracing the environmental and prehistoric background to the Wall, its structure, planning and construction, military deployment on its line, associated artefacts and inscriptions, the logistics of its supply, as well as new insights into the study of its history. Due attention is paid to the people of the Wall, not just the officers and soldiers, but their womenfolk and children. Important aspects of the book are new developments in the recording, interpretation and presentation of the Antonine Wall to today's visitors. Considerable use is also made of modern scientific techniques, from pollen, soil and spectrographic analysis to geophysical survey and airborne laser scanning. In short, the papers embody present-day cutting edge research on, and summarise the most up-to-date understanding of, Rome's shortest-lived frontier. The editors, Professors Bill Hanson and David Breeze, who themselves contribute several papers to the volume, have both excavated sites on, and written books about, the Antonine Wall.

This book focuses on the development of bilateral Jewish-Muslim relations in London and Amsterdam since the late-1980s. It offers a comparative analysis that considers both similarities and differences, drawing on historical, social scientific, and religious studies perspectives. The authors address how Jewish-Muslim relations are related to the historical and contemporary context in which they are embedded, the social identity strategies Jews and Muslims and their institutions employ, and their perceived mutual positions in terms of identity and power. The first section reflects on the history and current profile of Jewish and Muslim communities in London and Amsterdam and the development of relations between Jews andMuslims in both cities. The second section engages with sources of conflict and cooperation. Four specific areas that cause tension are explored: the Israeli-Palestinian conflict; antisemitism and Islamophobia; attacks by extremists; and the commemoration of wars and genocides. In addition to ‘trigger events', what stands out is the influence of historical factors, public opinion, the ‘mainstream'Christian churches and the media, along with the role of government. Women judges are playing increasingly prominent roles in many African judiciaries, yet there remains very little comparative research on the subject. Drawing on extensive cross-national data and theoretical and empirical analysis, this book provides a timely and broad-ranging assessment of gender and judging in African judiciaries. Employing different theoretical approaches, the book investigates how women have fared within domestic African judiciaries as both actors and litigants. It explores how women negotiate multiple hierarchies to access the judiciary, and how gender-related issues are handled in courts. The chapters in the book provide policy, theoretical and practical prescriptions to the challenges identified, and offer recommendations for the future directions of gender and judging in the post-COVID-19 era, including the role of technology, artificial intelligence, social media, and institutional transformations that can help promote women's rights. Since the end of the Cold War, the monopoly of legitimate organized force of many African states has been eroded by a mix of rebel groups, violent extremist organizations, and self-defence militias created in response to the rise in organized violence on the continent. African Border Disorders explores the complex relationships that bind states, transnational rebels and extremist organizations, and borders on the African continent. Combining cutting edge network science with geographical analysis, the first part of the book highlights how the fluid alliances and conflicts between rebels, violent extremist organizations and states shape in large measure regional patterns of violence in Africa. The second part of the book examines the spread of Islamist violence around Lake Chad through the lens of the violent Nigerian Islamist group Boko Haram, which has evolved from a nationally-oriented militia group, to an internationally networked organization. The third part of the book explores how violent extremist organizations conceptualize state boundaries and territory and, reciprocally, how do the civil society and the state respond to the rise of transnational organizations. THE GLOSS OF WAR: REVISITING THE KOREAN WAR’S LEGACY.

In war powers analysis, reliance on the interpretive method of historical practice, also called the “gloss of history,” has made history a technology of the forever war. This approach draws upon the history of U.S. military conflict to interpret the scope of presidential war power and embeds past actions into the separation of powers. There is a crucial flaw in this methodology, however. The understanding of history in historical gloss is not informed by the changing historiography of war. This has led to a divergence between the “history” in legal authority and the revised historical understanding in scholarly works of history. Whereas lessons of history in other contexts often serve as levers for reexamination of government action, in gloss-of-history analysis the past instead serves to legitimate settled practices. The consequence is that presidential overreach is not recognized and corrected, but instead built into the doctrine of expanding unilateral power. [ABSTRACT FROM AUTHOR]

More of them died after the Armistice of September 1943 than before, when the air attacks were intended to induce Italy's surrender. Allied Air Attacks and Civilian Harm in Italy, 1940–1945 addresses this seeming paradox, by examining the views of Allied political and military leaders, Allied air crews, and Italians on the ground. It tells the stories of a little-known diplomat (Myron Charles Taylor), military strategist (Solly Zuckerman), resistance fighter (Aldo Quaranta), and peace activist (Vera Brittain) – architects and opponents of the bombing strategies. It describes the fate of ordinary civilians, drawing on a wealth of local and digital archival sources, memoir accounts, novels, and films, including Joseph Heller's Catch-22 and John Huston's The Battle of San Pietro. Women Will Vote : Winning Suffrage in New York State

Women Will Vote celebrates the 2017 centenary of women's right to full suffrage in New York State. Susan Goodier and Karen Pastorello highlight the activism of rural, urban, African American, Jewish, immigrant, and European American women, as well as male suffragists, both upstate and downstate, that led to the positive outcome of the 1917 referendum. Goodier and Pastorello argue that the popular nature of the women's suffrage movement in New York State and the resounding success of the referendum at the polls relaunched suffrage as a national issue. If women had failed to gain the vote in New York, Goodier and Pastorello claim, there is good reason to believe that the passage and ratification of the Nineteenth Amendment would have been delayed. Women Will Vote makes clear how actions of New York's patchwork of suffrage advocates heralded a gigantic political, social, and legal shift in the United States. Readers will discover that although these groups did not always collaborate, by working in their own ways toward the goal of enfranchising women they essentially formed a coalition. Together, they created a diverse social and political movement that did not rely solely on the motivating force of white elites and a leadership based in New York City. Goodier and Pastorello convincingly argue that the agitation and organization that led to New York women's victory in 1917 changed the course of American history.

This book intends to provide a continuous assessment of the crisis in governance in Africa. As it is, there are huge deficits in the capacity of African states to harness vast human and material resources to promote good governance. This manifests in pervasive corruption, collapsed service delivery, collapsed state-owned enterprises, eroded social trust, capital flight, escalating levels of poverty and wars, human insecurity, and stunted growth. The public sector is the pulse of service delivery because the entire governance system revolves around the sourcing of materials and services, mostly from the private sector, in order to achieve its public policy intents. The procurement process, therefore, ordinarily ought to yield positive economic outcomes and an efficiency-driven system in favour of the government itself and its service recipients. However, this more often than not is not the case. Despite its enormous wealth, the African continent is in an economic quagmire, a dilemma that requires multi-facet research activities. This is the motivation for this book.

This Volume celebrates 60 years of OMBAR, over which time it has been an essential reference for research workers and students in all fields of marine science. This book presents an evidence-based approach to landscape planning and design for urban blue spaces that maximises the benefits to human health and well-being while minimising the risks. Based on applied research and evidence from primary and secondary data sources stemming from the EU-funded BlueHealth project, the book presents nature-based solutions to promote sustainable and resilient cities. Numerous cities around the world are located alongside bodies of water in the form of coastlines, lakes, rivers and canals, but the relationship between city inhabitants and these water sources has often been ambivalent. In many cities, water has been polluted, engineered or ignored completely. How can power over others be transformed to'power with'?It is possible to transform many institutions to build societies with less predation and more freedom. These stretch from families and institutions of gender to the United Nations. Some societies, times and places have crime rates a hundred times higher than others. Some police forces kill at a hundred times the rate of others. Some criminal corporations kill thousands more than others. Micro variables fail to explain these patterns. Prevention principles for that challenge are macrocriminological.Freedom is conceived in a republican way as non-domination. Tempering domination prevents crime; crime prevention reduces domination. Many believe a high crime rate is a price of freedom. Not Braithwaite. His principles of crime control are to build freedom, temper power, lift people from poverty and reduce all forms of domination. Freedom requires a more just normative order. It requires cascading of peace by social movements for non-violence and non-domination. Periods of war, domination and anomie cascade with long lags to elevated crime, violence, inter-generational self-violence and ecocide. Cybercrime today poses risks of anomic nuclear wars.Braithwaite's proposals refine some of criminology's central theories and sharpen their relevance to all varieties of freedom. They can be reduced to one sentence. Strengthen freedom to prevent crime, prevent crime to strengthen freedom.
